SAN FRANCISCO and PALO ALTO, November 11, 2019 – Baker Botts L.L.P., a leading international technology and energy law firm, announced today the arrival of Michael Torosian. He joins Baker Botts’ Emerging Companies and Venture Capital (ECVC) Practice as a member of the Corporate Department. Mr. Torosian, who is the fifth lateral partner to join Baker Botts’ Bay Area offices since early October, will work out of the San Francisco and Palo Alto offices.
Mr. Torosian focuses on ECVC, M&A and capital markets work, primarily in the technology, renewables and life sciences industries. He represents companies across all stages, from formation through venture capital financings and liquidity events, such as the sale of a company or an IPO. He also represents investors – including angel investors, venture capital firms and corporate ventures – and buyers, sellers and advisory firms in private and public transactions, as well as issuers and investment banks in IPOs, follow-on and secondary offerings, and Rule 144A convertible debt offerings.
“Mike brings a strong technology focus to our ECVC Practice as we continue to expand our West Coast presence to meet our startup clients’ needs,” said John Martin, Managing Partner of Baker Botts. “Keeping pace with innovation requires an entrepreneurial team able to guide these clients from formation through exit. Mike’s arrival builds even further on those capabilities.”
“We are thrilled to welcome Mike to the firm,” said Patricia Stanton, Partner-in-Charge of the San Francisco Office. “His sought-after experience and background will provide additional value to our ECVC clients and continue the strong growth and momentum we are enjoying in our Bay Area offices.”
Mr. Torosian earned his J.D. and LL.M. from Duke University Law School and a B.B.A., Business Administration and M.P.A., Business and Professional Accounting, from the University of Texas. Prior to law school, Mike worked as a Senior Auditor for KPMG in Dallas. He joins Baker Botts from Pillsbury Winthrop Shaw Pittman LLP, where he was a corporate partner in the San Francisco and Silicon Valley offices.
“I am excited to join Baker Botts,” Mr. Torosian said. “I have worked with several of the firm’s lawyers over the years and know first-hand the expertise they bring to the table in the representation of emerging growth companies. I am eager to continue the firm’s expansion of these relationships and play a role in the strategic growth of the San Francisco and Palo Alto offices.”
Baker Botts advises technology and other emerging growth companies from formation through rounds of venture capital or other private equity financing, initial public offering, sale or merger and beyond. In addition to handling corporate and transactional matters, Baker Botts’ ECVC lawyers work closely with their colleagues from the Intellectual Property and other departments to deliver creative and specialized solutions for their clients’ needs. Baker Botts’ lawyers also represent a number of venture capital and other private equity funds, not only in raising their funds and making their portfolio investments, but also in the management and disposition of those investments. In addition, the firm has significant experience representing enterprises in joint ventures and other strategic alliances. The firm recently established strategic partnerships with three premier technology accelerators in Texas – Capital Factory, The Cannon and Station Houston.
