Deal Description: October 22, 2018 – WorleyParsons Ltd. (ASX: WOR) (“WorleyParsons”) has agreed to acquire the energy, construction and resources business segment of Jacobs Engineering Group Inc. (NYSE: JEC) (“Jacobs”) for $3.3 billion, consisting of $2.6 billion in cash, subject to adjustments for changes in working capital and certain other items, plus ordinary shares of WorleyParsons equal to $700 million (the “Transaction”). The Transaction is expected to close in the first half of calendar year 2019, subject to customary closing conditions.
