MOSCOW, May 21, 2013 -- The work by Baker Botts lawyers in 2012 -- led by Moscow Partner Melinda Rishkofski -- on the acquisition of a majority stake in the leading Russian cinema chain Karo Film earned top honors in two categories and was a finalist in a third category in the 2013 International M&A Awards ceremony held earlier this month in New York.
The acquisition of Karo Films led by Moscow-based media investor Paul Heth, with support from Patton Media Group, Baring Vostok, UFG Private Equity and the Russian Direct Investment Fund, earned top honors in the “Deal Financing of the Year” and “M&A Deal of the Year” (for transactions over $100 million to $250 million) categories, and was a finalist in the “Technology, Media, Telecom” (under $1 billion) category.

The milestone US $100 million investment was aimed at multiplex expansion and designed to take Karo to the next level in the industry with the addition of new cinema venues opening during the next three years, Karo’s 3D and large format digital projection capacity upgraded and improvement in its food and beverage offerings, among other proposed plans.
Baker Botts’ Moscow Corporate team, led by Rishkofski, advised on the acquisition of the controlling stake, including carrying out full-scale legal due diligence of the target group’s business, advice on the pre-transaction restructuring of the target group, drafting and negotiation of a Share Purchase Agreement, Shareholders Agreement, Share Retention and Guarantee Agreements and other ancillary transaction documents, as well as providing assistance in signing and closing of the transaction.
Baker Botts’ Moscow-based Real Estate team was involved in the transaction, conducting extensive due diligence and real estate advice in relation to the matter.

This was the 5th Annual M&A Advisor Awards gala that recognized leading deal teams, dealmakers and firms whose activities set the standard for cross border transactions. This year, 260 nominating companies were finalists for the awards. An independent judging committee of cross border industry experts determined award recipients.
